Agreement: These terms override any previous agreements. Changes can only be made in writing and agreed upon by the Seller.
By placing an order, the Buyer agrees to these terms.
Definitions
Buyer: You, the customer receiving our services.
Seller: Us, Tennessee Estimating.
Work: The services we provide, such as consulting and estimating.
Preliminary Work: Any prep services or third-party assistance.
Electronic File: Any shared digital material.
Intellectual Property: Includes copyrights, trademarks, patents, and other property rights..
Delivery
The Seller is not responsible for delivery delays. The Buyer must accept and pay for delivered work.
Work will be delivered digitally unless we agree otherwise.
Deliveries may happen in parts, with each part billed separately.
Payment
Prices are based on the current scope of work and can change if additional tasks are required.
Taxes are the Buyer’s responsibility.
All work, including preliminary tasks, will be charged, even if the Buyer does not proceed.
Delays or errors caused by the Buyer may result in extra charges.
Payment must be made before the work begins unless we’ve agreed to credit terms.
We do not share your personal information with outside parties during any stage of service.
Credit Options
If credit terms are granted, payment is due within 30 days. Late payments will incur interest and additional charges.
We reserve the right to cancel credit terms at any time.
Materials Provided by the Buyer
Keep a backup of all files you provide to us.
If materials are unsuitable, we may refuse them or charge for any required fixes.
The Buyer assumes all risks associated with provided materials and agrees to indemnify the Seller against any claims.
Once the work is delivered, it’s the Buyer’s responsibility to protect it.
Materials Provided by the Seller
Any materials we provide remain our property.
After the project is complete, we may dispose of materials and keep digital copies for our records.
Review and Changes
The Buyer must carefully review all drafts or proofs. If you spot an error and don’t tell us before approval, we won’t be liable.
Extra revisions, changes, or copies may come with additional costs.
It’s the Buyer’s responsibility to review completed work before using it for tenders or proposals.
Insurance
The Buyer is responsible for insuring against risks such as delivery or storage issues.
Accepting Work
Once work is delivered, the Buyer must inspect it within 1 hour and report any defects immediately.
Liability
The Seller is not responsible for any indirect or consequential losses.
Liability is limited to the price agreed for the work.
Cancellation
If canceled before work begins, the Buyer must reimburse the Seller for labor, materials, and any lost profits.
Cancellation fees may apply.
Ownership Rights
Ownership of the work remains with the Seller until all payments are made in full.
Compliance and Legal Issues
We reserve the right to refuse any unlawful or infringing material.
The Buyer is responsible for any legal issues arising from the materials provided.
Unforeseen Events (Force Majeure)
The Seller is not liable for delays or failure to deliver due to events beyond our control, such as natural disasters or emergencies.
Third-Party Rights
These terms do not grant rights to any third party that is not part of this agreement.
Governing Laws
This contract is governed by U.S. law, and disputes will be resolved in U.S. courts.
Estimating Services
The Buyer must provide clear and detailed instructions for all services.
Intellectual Property created during a project belongs to the Buyer, though the Seller may retain work samples for marketing purposes.
The Seller is not liable for issues caused by unclear instructions.
Data Protection
The Buyer warrants they have the right to share personal data with the Seller and agrees to protect the Seller in case of breaches related to provided data.
